Terms of Service

1. Acceptance of Terms

By accessing or using ContractCliff (“the Service”), operated by ContractCliff (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ContractCliff provides federal contractor intelligence, including contract expiration tracking, concentration risk analysis, and spending trend data. All contract data is sourced from USAspending.gov, the official source for federal spending data maintained by the U.S. Department of the Treasury.

ContractCliff is not affiliated with, endorsed by, or connected to the U.S. government, the Department of the Treasury, or USAspending.gov.

3. Accounts

Some features of the Service require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating an account and to update your information as needed to keep it accurate.

We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive, fraudulent, or unauthorized use of the Service.

4. Subscriptions and Payments

Certain features of the Service are available through paid subscription plans. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

All payments are processed by Stripe. We do not store your payment card details. Refunds are handled on a case-by-case basis at our discretion.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of the Service or its systems.
  • Scrape, crawl, or use automated tools to extract data from the Service in bulk without prior written permission.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell or redistribute data obtained from the Service without authorization.

6. Data Accuracy

Contract data displayed on ContractCliff is sourced from publicly available USAspending.gov records. While we strive to present this data accurately, we do not guarantee the completeness, accuracy, or timeliness of any information on the Service. Contract end dates, obligation amounts, and other details reflect what is reported to USAspending.gov by federal agencies and may not account for modifications, options, or other changes not yet reported.

You should not rely solely on ContractCliff data for business, investment, or legal decisions. Always verify critical information with official government sources.

7. Intellectual Property

The Service, including its design, features, and original content (excluding government data), is owned by ContractCliff and protected by applicable intellectual property laws. The underlying federal contract data is in the public domain. Our analysis, presentation, and derived metrics (such as concentration scores and cliff calculations) are proprietary.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTCLIFF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; OR (C) ANY INTERRUPTION OR CESSATION OF THE SERVICE.

10. Changes to Terms

We may update these Terms of Service from time to time. We will notify users of material changes by posting the updated terms on this page with a revised “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.
